TERMS OF SERVICE AND USER AGREEMENT
ARTICLE I. PREAMBLE, BINDING EFFECT, AND DEFINITIONS
1.1. Formation of the Legal Contract (Binding Effect)
This document constitutes a comprehensive Terms of Service and User Agreement ("Agreement" or "Terms"), immediately establishing the legal rights and mandatory obligations between Shipify UAB ("Shipify," "the Company," "we," or "our") and the individual or legal entity utilizing the Platform ("User," "you," or "your").
By any method of accessing, viewing, interacting with, or transacting on the Platform, you legally affirm that you have received and fully consent to all provisions outlined herein, including all referenced policies (Privacy and Cookie). Should you object to any mandatory term, your access authorization is automatically revoked, and you must terminate all usage immediately.
1.2. Corporate Identity and Jurisdiction
The digital environment, designated herein as the Platform or the Site (https://shipifyuab.org/), is the sole property of, and is administered by, Shipify UAB.
The Company is a legal entity registered under the laws of the Republic of Lithuania. Our primary registered address is Vilniaus m. sav., Grigiškės, Šviesos g. 3-72, LT-27115, Lithuania. All official correspondence and legal inquiries should be directed to the Official Contact Email: team@shipifyuab.org.
This Agreement and the resolution of any disputes arising from it shall be governed by the laws of the Republic of Lithuania.
ARTICLE II. MODIFICATION AND CONTINUITY
2.1. Right to Amend
We reserve the exclusive, unilateral right to update, revise, or supersede any portion of these Terms, the Privacy Policy, or the Cookie Policy at any moment. All such amendments shall become effective immediately upon their publication on the Platform.
2.2. User Obligation
It is incumbent upon the User to consistently review this Agreement for any changes. Continued engagement with the Platform subsequent to the publication of revised Terms signifies the User's definitive acknowledgment and acceptance of the new conditions.
ARTICLE III. USER WARRANTIES AND RESTRICTIONS
3.1. Permitted Use
The User covenants and warrants that their interaction with the Platform will adhere strictly to all applicable local, national, and international laws, and will be utilized solely for its intended, lawful purpose.
3.2. Prohibited Conduct
The User is strictly forbidden from engaging in, or attempting to engage in, the following detrimental activities:
- Submitting data that is false, deceptive, fraudulent, or impersonating another individual or legal entity.
- Posting, transmitting, or uploading illegal, infringing, abusive, or harmful material (including unsolicited communications or "spam").
- Conducting any action intended to disrupt, overburden, or compromise the technical integrity or operational functionality of the Site or its underlying infrastructure.
- Attempting to access restricted areas, source code, or internal systems without explicit, prior written authorization from Shipify.
- Employing automated agents, spiders, robots, or other automated mechanisms to collect data or interact with the Platform without express consent.
ARTICLE IV. AVAILABILITY AND LIABILITY LIMITATIONS
4.1. Service Provision and Operation
We make diligent efforts to ensure the Platform remains fully operational, secure, and current. Nonetheless, Shipify provides the Platform and its content on an "as is" and "as available" basis, without any express or implied guarantees or warranties.
4.2. Disclaimer of Technical Liability
Shipify assumes no liability for technical interruptions, system errors, data corruption, or the presence of malware or other harmful external components that may occur outside of our direct control. The User acknowledges and accepts that certain browser settings (e.g., blocking cookies) may restrict some Platform functionality, and Shipify is not responsible for such limitations.
4.3. User Responsibility
The User explicitly acknowledges that all interaction with the Platform is undertaken at their own risk. Shipify, its management, and employees shall not be held liable for any direct, indirect, incidental, or consequential damages (including, but not limited to, loss of data, loss of business opportunity, or loss of profits) arising from the inability to use or the use of the Platform.
ARTICLE V. THIRD-PARTY RESOURCES AND INDEMNIFICATION
5.1. External Links Policy
The Platform may contain hyperlinks to external websites controlled by independent third parties, and these third parties may link back to the Site. Shipify does not supervise or endorse the content, operations, or privacy practices of these external resources and explicitly disclaims all liability for their content or function. Accessing any third-party link is done entirely at the User's own peril.
5.2. Indemnity Obligation
The User agrees to indemnify, defend, and hold Shipify, its directors, officers, and employees harmless from any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) the User's breach of this Agreement; or (b) the User's misuse of the Platform.
ARTICLE VI. INTELLECTUAL PROPERTY
All intellectual property assets ("IP") embodied in the Platform—including, but not limited to, software code, proprietary data, graphics, logos, texts, and trademarks—are the proprietary domain of Shipify UAB or its licensors and are protected under applicable intellectual property laws. Reproduction, modification, distribution, or commercial exploitation of any part of the IP without the express written consent of Shipify is strictly forbidden.
ARTICLE VII. GOVERNING LAW AND DISPUTE RESOLUTION
7.1. Governing Law
This Agreement, and any disputes or claims arising out of or in connection with it, shall be interpreted and enforced solely in accordance with the substantive laws of the Republic of Lithuania, without regard to its conflict of law principles.
7.2. Complaint Procedure
We encourage the resolution of any dispute through good-faith communication. Any formal complaint concerning the service or the Platform must be submitted in writing to the Official Contact Email (team@shipifyuab.org) within fourteen (14) calendar days of the issue becoming known to the User.
7.3. Exclusive Jurisdiction
Should an amicable resolution fail, any legal action, proceeding, or litigation arising from this Agreement shall fall under the exclusive jurisdiction of the competent courts of Vilnius, Lithuania.
